COMPLETION OF NON-RENOUNCEABLE ENTITLEMENT ISSUE

Further to its announcement on 24 May 2013, Mining Group Limited (ASX:MNE) (“Mining Group” or “the Company”) confirms that it has today completed its pro-rata nonrenounceable entitlement issue of approximately 85,085,655 new shares ( New Shares ) on the basis of four New Shares for every five Mining Group shares held by shareholders on the record date at an issue price of $0.025 per New Share and a free attaching New Option ( New Options ) (with an exercise price of $0.05 and an expiry date of 30 June 2015) for every two New Shares issued ( Entitlement Issue ).

Following receipt of cleared funds, the Company has today allotted the Entitlement Issue shortfall of 72,803,091 New Shares and 36,401,545 New Options, in accordance with the Underwriting Agreement between the Company and Cygnet Capital Pty Ltd ( Cygnet Capital ).

Further, as detailed in the Entitlement Issue Prospectus ( Prospectus ) dated 22 April 2013 and as approved by shareholders at the General Meeting of shareholders held on 10 May 2013, the Company has today allotted and issued 22,500,000 New Options to nominees of Cygnet Capital, in consideration for underwriting services provided in relation to the Entitlement Issue. Cygnet Capital has elected not to convert the cash component of its underwriting fee to New Shares and New Options, as was contemplated in the Prospectus, and approved by shareholders, therefore the final number of shares and options issued in relation to the Entitlement Issue will be less than originally contemplated in the Appendix 3B dated 23 April 2013 (see below).
