Board Changes

Director Resignations

ENRG Elements Limited ( ASX: EEL ) (“ ENRG Elements ” or the “ Company ”) wishes to advise that Michael Soucik and William Philogene have both resigned as directors of the Company, effective immediately. The Board would like to thank them for their services to date.

New Appointments

The Company is pleased to announce the appointment of Mr Jiandong He as the Company’s new Non-Executive Chairman and Mr John Bovard as Non-Executive Director. Alongside these appointments, Mr Paul Ingram will move to the role of Managing Director and Deputy Chairman. Material terms of Mr Ingram’s appointment is annexed to this announcement.

Mr Jiandong He

Mr. He is one of the founders of the Shenke Slide Bearing Corporation, a China listed company. He was appointed as the Chairman of A-Cap Energy Limited from 2020 to 2023. He is currently the Chairman of Zhejiang Shenke Group that the main business is Hydro stations and mining.

Mr John Bovard

Mr Bovard is an engineer with over 50 years’ experience in the mining industry, including at General Manager level on major projects including the Superpit in Kalgoorlie, the Phosphate Hill Fertiliser Project and the Oktedi and Porgera projects in PNG.

Offshore experience has included 4 years in Thailand as GM of a major potash project, ten years in PNG plus major trouble-shooting assignments in multiple overseas countries. Board experience includes as a NED with companies listed on the ASX, TSX and AIM plus 3 years as Chairman of Orbis Gold prior to its successful takeover by a Canadian company.

The new board will aim to create shareholder value from current projects and any new opportunities presented to the board.

Annexure

Mr Ingram will be paid a monthly rate of $24,000, inclusive of compulsory superannuation, for acting as Managing Director and Deputy Chair. Either party may terminate the appointment on 3 months written notice.
