Sub: Outcome of Meeting of the Rights Issue Committee under Regulations 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

This is further to the meeting of the Board of Directors of the Company (the "Board") held on March 21, 2024, approving the offer and issuance of fully paid-up equity shares of the Company (the "Equity Shares") for an amount not exceeding Rs. 49.90 crores, by way of rights issue to the eligible equity shareholders of the Company ("Rights Issue"), and constituting a Rights Issue Committee in this regard ("Rights Issue Committee/RIC") in accordance with the Companies Act, 2013 and the rules made thereunder, the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, other applicable laws.

We wish to inform you that the Rights Issue Committee of the Board at its meeting held today, i.e., Tuesday April 02, 2024, have inter alia, considered and approved the Draft Letter of Offer in relation to the proposed Rights Issue of the Company. The Draft Letter of Offer will be filed with the Stock Exchanges for seeking the in-principle approval for the proposed Issue and listing of Equity Shares pursuant to the same.
