Notice under sections 708A(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by Burson Group Limited (ACN 153 199 912) ( Burson ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the Act ).

Burson is issuing fully paid ordinary shares ( New Shares ) via a placement of:

• 4,410,684 New Shares to Glendale Investment Group Pty Limited (ACN 123 827 743) in its capacity as trustee for the Glendale Investment Trust; and

• 284,839 New Shares to Accent Investments Pty Limited (ACN 153 350 960) in its capacity as trustee for the Accent Investments Trust (together, the New Shareholders ),

as part of the consideration paid to the New Shareholders in respect of the acquisition of the entire issued share capital of Metcash Automotive Holdings Pty Ltd, the automotive division of Metcash Limited.

Burson advises the following.

• (a) The New Shares were offered for issue without disclosure to the New Shareholders under Part 6D.2 of the Act.

• (b) This notice is being given under section 708A(5)(e) of the Act.

• (c) As at the date of this notice, Burson has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to Burson; and

  • (ii) section 674 of the Act as it applies to Burson;

• (d) As at the date of this notice, there is no 'excluded information' of the type referred to in sections 708A(7) and 708A(8) of the Act.
