Each Performance Right entitles the holder to receive one fully paid ordinary share in Bapcor, subject to achieving certain performance hurdles. The Performance Rights are issued under the Company¿s Long Term Incentive Plan, as part of Bapcor¿s ¿Better Than Before¿ (BTB) incentive program, further details of which can be found at: https://www.asx.com.a u/asxpdf/20230216/pdf/45lnk99ls0m4bd.pdf

Bapcor has made an offer of 156,268 Performance Rights to the Company's CEO under the BTB incentive program, the issuance of such Performance Rights to be subject to shareholder approval at the Company's 2023 Annual General Meeting.
