The 598,904 Performance Rights are issued
under the Company’s Long Term Incentive Plan
(Plan). The Performance Rights are subject to
a number of vesting conditions (Performance
Conditions) as follows:
Tranche A:205,346 Performance Rights
will vest subject to the satisfaction of
relevant performance hurdles described
below which will be tested over the period 1
July 2015 – 30 June 2017.
Tranche B:393,558 Performance Rights
will vest subject to the satisfaction of
relevant performance hurdles described
below which will be tested over the period 1
July 2015 – 30 June 2018.
The prescribed performance hurdles for
50% of the Tranche A and Tranche B
Performance Rights respectively relate to
total
shareholder
return
achieved
by
  • Burson against a comparator group of companies.

  • The prescribed performance hurdles for 50% of the Tranche A and Tranche B Performance Rights respectively relate to earnings per share growth achieved by Burson with a minimum of 7.5%pa.

Subject to the satisfaction of the Performance Conditions at the end of the relevant Performance Period, a holder will receive one fully paid ordinary share in the Company for each vested Performance Right. No cash consideration is payable for the issue of the Performance Rights, or on the issue of the underlying shares upon the vesting of the Performance Rights. Performance Rights issued will not be listed on ASX and will not be transferable, except as permitted under the Plan.
