CERTIFIED TRUE COPY OF THE RESOLUTION PASSED IN THE MEETING OF THE MEMBERS OF BOARD OF DIRECTORS OF BANSISONS TEA INDUSTRIES LIMITED HELD ON 30th DECEMBER, 2020 AT 02:00 P.M., AT THE REGISTERED OFFICE OF THE COMPANY

The Chairman informed that M/s Agarwal Sushil Kumar & Co chartered Accountants (FRN: 323412E) has resigned from the post of Statutory Auditor of the Company on 1[st ] December, 2020. Hence, as per Section 139(8), the company intends to appoint the Auditor under casual vacancy due to resignation Chairman proposed the name of M/s. R.K. Bihani & Associates & Company, Chartered Accountants (ICAI Firm Registration No. 320078E) for appointment as Statutory Auditor of the Company. The Board considered the same and passed the following resolution unanimously.

APPOINTMENT OF STATUTORY AUDITORS UNDER CASUAL VACANCY

To consider and if thought fit, to pass with or without modification(s), the following resolution:

“ RESOLVED THAT pursuant to the provisions of Section 139(8) and other applicable provisions, if any, of the Companies Act, 2013 as amended from time to time or any other law for the time being in force (including any statutory modification or amendment thereto or reenactment thereof for the time being in force), M/s. R.K. Bihani & Associates & Company, Chartered Accountants (ICAI Firm Registration No. 320078E), be appointed as as Statutory Auditors of the Company to fill the casual vacancy and shall hold office from the conclusion of this meeting until the conclusion of the ensuing Annual General Meeting and they shall conduct the Statutory Audit for the year ended 31[st ] March, 2021 on such remuneration and reimbursement of out of pocket expenses for the purpose of audit as may be approved the Board of Directors."

RESOLVED FURTHER THAT the Directors be and are hereby authorized severally to communicate the appointment to the said auditors to do all such acts, deeds and things which are necessary to give effect to the above resolution.”
