In view of the COVID-19 pandemic, the National Bank of Belgium is offering its shareholders the option of taking part remotely in the General Meeting. It will be possible to follow the meeting in real time via live streaming and shareholders will be able to exercise their participation rights via an electronic platform made available by the National Bank.
For practical guidelines and information on the digital participation option, see the Bank's explanatory notes to be published on this subject on its website at https://www.nbb.be/en/ordinary-general-meetingshareholders-17-may-2021. Shareholders who have registered will receive their personal log-in details a few days before the meeting.
The National Bank will grant shareholders and proxy holders physical access to the meeting only to the extent permitted under the government measures applicable at the time of the meeting.
Depending on how the COVID-19 situation and the associated regulations develop, the National Bank might need to modify the arrangements for organising and participating in the meeting. Any such changes will be announced at the appropriate time on the National Bank's website (https://www.nbb.be/en/ordinary-generalmeeting-shareholders-17-may-2021).

a) Registration date
Pursuant to Article 7:134, § 2 of the Companies and Associations Code, the right to attend the General Meeting and to vote at the meeting is subject to registration of the shares in the name of the shareholder on Monday, 3 May 2021 at 24.00 hrs (Belgian time) - "registration date" -, either by entry in the register of registered shares or by entry in the accounts of an approved account keeper or clearing agency, regardless of the number of shares held by the shareholder on the date of the General Meeting. Only persons who are shareholders on the registration date will be entitled to attend and vote at the General Meeting.
Holders of dematerialised shares who wish to attend or be represented at the meeting must ask their bank or financial institution to issue a certificate indicating the number of shares held on the registration date and for which they have declared that they wish to attend the meeting. That certificate must reach the Bank, either by e-mail at [email protected], or by post addressed to the National Bank of Belgium, Financial Markets - DM Office, boulevard de Berlaimont 14, 1000 Brussels, by no later than Tuesday, 11 May 2021.
Holders of registered shares, entered in the register of registered shares on the registration date, who wish to attend or be represented at the meeting are asked to notify the Bank by no later than Tuesday, 11 May 2021 of their intention to attend the General Meeting, in accordance with the letter which was sent to them.
Shareholders wishing to be represented at the General Meeting must complete the admission formalities mentioned above and fill in a proxy form which must reach the Bank either by e-mail at [email protected], or by post, addressed to the National Bank of Belgium, Financial Markets - DM Office, boulevard de Berlaimont 14, 1000 Brussels, by no later than Tuesday, 11 May 2021. Proxy forms are available on the Bank's website at https://www.nbb.be/en/ordinary-general-meeting-shareholders-17-may-2021.
Subject to the limits stipulated in Article 7:130 of the Companies and Associations Code and in the Bank's Statutes, one or more shareholders together holding at least 3% of the authorised capital may request the inclusion of items on the agenda of the meeting, and submit proposals for decisions on the items included or to be included on the agenda. Such requests must reach the Bank either by e-mail at [email protected], or by post addressed to the National Bank of Belgium, Secretariat Service (SD), boulevard de Berlaimont 14, Brussels, by Sunday, 25 April 2021 at the latest. If this right is exercised, a supplemented agenda will be published on Friday 30 April 2021 at the latest. More detailed information on the exercise of this right is available on the Bank's website.
Pursuant to Article 7:139 of the Companies and Associations Code, shareholders may submit written questions concerning items on the agenda. Such questions must reach the Bank either by e-mail at [email protected], or by post addressed to the National Bank of Belgium, Secretariat service (SD), boulevard de Berlaimont 14, 1000 Brussels, by Tuesday, 11 May 2021 at the latest. More detailed information on the exercise of this right is available on the Bank's website.
The Corporate Report, proxy forms and summons to the meeting are available on the Bank's website at https://www.nbb.be/en/ordinary-general-meeting-shareholders-17-may-2021. These documents are also obtainable on request from [email protected].
For practical reasons, and unless a request to the contrary is submitted to the department Financial Markets - DM Office by no later than Tuesday, 11 May 2021 by e-mail at [email protected], or by telephone on 02 221 46 56, each shareholder will be given one login or voting card valid both for votes in his own name and for his proxy votes.

Company's number: 0203.201.340 – RLP Brussels Every natural person taking part in the meeting as a shareholder, proxy holder or organ of a legal person must be able to prove his or her identity. Representatives of legal persons must be able to prove their identity as an organ or special proxy holder. Shareholders and proxy holders will be required to produce their identity card at reception (rue Montagne aux Herbes Potagères/Warmoesberg 61 in 1000 Brussels). The procurement by shareholders of the personal login data for their participation in the digital meeting counts as full proof of identity in the aforesaid sense.
