Subject:Information for the Annual General Meeting on the guidance of the KNFaddressed to banks operating as joint stock companies on compliance withrequirements for assessing the adequacy of internal regulationsconcerning their supervisory boards operations and its effectiveness

Legalbasis:Paragraph19 section 1) point 2 of the Ordinance of the Minister of Finance datedMarch 29, 2018 on current and periodic information published by issuersof securities and the conditions for regarding as equivalent theinformation required by the law of a non-member state

BankHandlowy w Warszawie S.A. hereby announces that on April 4th,2023 it received the KNF's guidance on compliance with requirements forassessing the adequacy of internal regulations concerning theirsupervisory board's operations and its effectiveness arising from theKNF's Recommendation Z on internal governance in banks (hereinafterreferred to as Guidance). Guidance is addressed to banks operating asjoint stock companies and concerns the method of proper fulfillment ofthe requirements set out in Recommendation 8.9 of Recommendation Z oninternal governance in banks

Inview of the KNF's expectation that banks should communicate Guidance totheir general meetings, Bank Handlowy w Warszawie S.A. informs thatGuidance has been posted on the Bank's website athttps://www.citibank.pl/poland/homepage/english/general-meetings-26042023.htm,document titled: "The KNF's guidance on assessing the adequacy ofinternal regulations concerning their supervisory boards operations andits effectiveness", in relation to item 5 of the agenda of the AnnualGeneral Meeting convened for 26 April 2023 regarding, among otherassessment of the effectiveness of the Supervisory Board's operation for2022 and assessment of the adequacy of internal regulations regardingthe functioning of the Supervisory Board in this period.
