Subject:Information on the registration of the amendment made to the Articles ofAssociation of the Bank Handlowy w Warszawie S.A.

Legalbasis:Paragraph5 point 1) of the Ordinance of the Minister of Finance dated March 29,2018 on current and periodic information published by issuers ofsecurities and the conditions for regarding as equivalent theinformation required by the law of a non-member state (Journal of Lawsof 2018, item 757).

BankHandlowy w Warszawie S.A. hereby announces that on March30th,2023 the District Court for the Capital City of Warsaw in Warsaw, XIICommercial Division of the National Court Register entered (registered)into the Register of Entrepreneur of the National Court Register anamendment to the Articles of Association of Bank Handlowy w WarszawieS.A. adopted by the Extraordinary General Meeting of Bank Handlowy wWarszawie S.A. on December 16, 2022 by means of Resolution No. 6/2022.

Amendmentsto the Articles of Association of Bank Handlowy w Warszawie S.A.(hereinafter: Articles of Association) includes:

1._#160;_#160;_#160;_#160;_#160;1.rewordingthe content of paragraph 31 section 7 of the Articles of Association asfollows:

7.The redeeming of shares required a resolution of the General Meeting ofShareholders and prior authorization form the Polish FinancialSupervision Authority. The resolution shall in particular specify thelegal basis of redeeming shares, amount of remuneration due to theShareholder of redeemed shares or justification for redeeming of shareswithout payment for such shares and manner of decreasing the sharecapital.

2._#160;_#160;_#160;_#160;2._#160;addingin the paragraph 31 after section 7 of the Articles of Associationsections 8 is added as follows:

8.The Bank may acquire the Bank's own shares on the principles set out ingenerally applicable provisions of law, subject to prior authorizationfrom the Polish Financial Supervision Authority.

BankHandlowy w Warszawie S.A. also informs that the consolidated text of theArticles of Association, established by the Bank's Supervisory Board inResolution No.2/III/O/2023in accordance with the authorization of theExtraordinary General Meeting of the Bank contained in Resolution No.6/2022 of December 16, 2022, constitutes an attachment to this currentreport.
