Re: Opinion of the Supervisory Board on themotion of the Management Board concerning the distribution of net profitfor the year 2022

Legal basis:Art. 17of the Regulation (EU) No 596/2014 of the European Parliament and of theCouncil of 16 April 2014 on market abuse (MAR).

With reference to the current report No. 4/2023 ofMarch 17, 2023, the Management Board of Bank Handlowy w Warszawie S.A.(_quot;the Bank_quot;) informs that on March 24, 2023, the Supervisory Board ofBank Handlowy w Warszawie S.A. adopted a resolution and gave a positiveopinion on the submission to the Annual General Meeting of Shareholdersof the motion of the Management Board on the distribution of net profitfor 2022 in the amount of PLN 1,569,309,967.45 as follows:

1)_#160;_#160;_#160;_#160;_#160;dividend: PLN 1,175,936,400.00, i.e.9.00 per share2)_#160;_#160;_#160;_#160;_#160;reserve capital: PLN 393,373,567.45Atthe same time, the Supervisory Board considered and endorsed the motionof the Management Boardconcerning thedividend date to be May 8, 2023 (the dividend day) and the dividendpayment date to be May 15, 2023 (the dividend payment date).

The proposal of the Management Board along with theopinion of the Supervisory Board will be submitted to the Annual GeneralMeeting of Shareholders for approval by resolution.
