Re: Information on the proposed distribution ofnet profit for 2021

Legal basis:Art. 17of the Regulation (EU) No 596/2014 of the European Parliament and of theCouncil of 16 April 2014 on market abuse (MAR).

On March 15, 2022, the Management Board of BankHandlowy w Warszawie S.A. ("Bank") adopted a resolution on the proposeddistribution of net profit for the year 2021.

The Management Board of the Bank recommended to theAnnual General Meeting in 2022 to distribute the profit for 2021 in theamount of PLN 715,972,070.88 as follows:

1)_#160;_#160;_#160;dividend: PLN714,708,012.00,i.e. PLN 5.47 per share

2)_#160;_#160;_#160;reserve capital: PLN1,264,058.88

The above proposal of dividend payment, representing99.82% of the net profit for 2021, is in line with the individualrecommendation of the Polish Financial Supervision Authority regardingthe Bank's compliance with the requirements for the payment of 100% ofthe dividend from net profit generated in 2021, which the Bank informedabout in the current report No. 5/2022 of February 28, 2022.

The recommendation of the Bank's Management Boardwill be submitted to the Supervisory Board for consideration andassessment, and then to the General Meeting for the purpose of adoptinga resolution. The final decision on the distribution of the net profitfor 2021 will be made by the Bank's General Meeting.
