Subject:Notification on the decrease of the share in the Bank's share capitaland in the total number of votes below 5% by Nationale - NederlandenOtwarty Fundusz Emerytalny and decrease of total share by other Fundsmanaged by Nationale - Nederlanden Powszechne Towarzystwo EmerytalneS.A.

TheManagement Board of Bank Handlowy w Warszawie S.A. ("Bank") announcesthat onNovember 21, 2024 has been notified by National - NederlandedPowszechne Towarzystwo Emerytalne S.A. ("NN PTE") about the decrease ofthe share in the Bank's share capital and in the total number of votes.

NN PTEinformed, that on 19 November 2024 in consequence of disposal of Bank'sshares in transactions at the WSE in Warsaw, Nationale-NederlandenOtwarty Fundusz Emerytalny_#160;("NN OFE") decreased it's ownership of Bank'sshares below 5% in the Bank's share capital and in the total number ofvotes. Before the settlement of the above-mentioned transaction, NN OFEheld 6,536,145 shares, representing 5.002% of the Bank's share capital,which gave the right to exercise 6,536,145 votes from sharesrepresenting 5.002% of total number of votes. After the settlement ofthe transaction, NN OFE holds 6,529,671 shares, representing 4.997% ofthe Bank's share capital, which gives the right to exercise 6,529,671votes from shares representing 4.997% of total number of votes.
