Subject:Notification on the increase of the share in the Bank's share capitaland in the total number of votes above 5% by Nationale - NederlandenOtwarty Fundusz Emerytalny and increase of total share by other Fundsmanaged by Nationale - Nederlanden Powszechne Towarzystwo Emerytalne S.A.

The ManagementBoard of Bank Handlowy w Warszawie S.A. ("Bank") announces that onAugust16, 2023 has been notified by National - Nederlanded PowszechneTowarzystwo Emerytalne S.A. ("NN PTE") about the increase of the sharein the Bank's share capital and in the total number of votes.

NN PTE informed,that on 11 August 2023 in consequence of acquisition of Bank's shares intransactions at the WSE in Warsaw, Nationale-Nederlanden Otwarty FunduszEmerytalny_#160;("NNOFE") increased it's ownership of Bank's shares above 5% in the Bank'sshare capital and in the total number of votes. Before the settlement ofthe above-mentioned transaction, NN OFE held 6,513,874 shares,representing 4.99% of the Bank's share capital, which gave the right toexercise 6,513,874 votes from shares representing 4.99% of total numberof votes. After the settlement of the transaction, NN OFE holds6,539,514 shares, representing 5.01% of the Bank's share capital, whichgives the right to exercise 6,539,514 votes from shares representing5.01% of total number of votes.

Additionally NNPTE informed that as a result of the above-mentioned transaction on theaccounts managed by Nationale-Nederlanden Powszechne TowarzystwoEmerytalne S.A. Funds: Nationale-Nederlanden Otwarty Fundusz Emerytalny,Nationale-Nederlanden Dobrowolny Fundusz Emerytalny,Nationale-Nederlanden Dobrowolny Fundusz Emerytalny Nasze Jutro 2025,Nationale-Nederlanden Dobrowolny Fundusz Emerytalny Nasze Jutro 2030,Nationale-Nederlanden Dobrowolny Fundusz Emerytalny Nasze Jutro 2035,Nationale-Nederlanden Dobrowolny Fundusz Emerytalny Nasze Jutro 2040,Nationale-Nederlanden Dobrowolny Fundusz Emerytalny Nasze Jutro 2045,Nationale-Nederlanden Dobrowolny Fundusz Emerytalny Nasze Jutro 2050,Nationale-Nederlanden Dobrowolny Fundusz Emerytalny Nasze Jutro 2055,Nationale-Nederlanden Dobrowolny Fundusz Emerytalny Nasze Jutro 2060oraz Nationale-Nederlanden Dobrowolny Fundusz Emerytalny Nasze Jutro2065 are a total of 6,876,766 shares of the Bank representing 5.26% ofthe Bank's share capital, which gives the right to exercise 6,876,766votes from shares representing 5.26% of total number of votes (beforethe change this Funds held in total 6,838,385 shares of the Bankrepresenting 5.23% of the Bank's share capital, which gave the right toexercise 6,838,385 votes from shares representing 5.23% of total numberof votes.
