Bank Handlowy wWarszawie S.A. (hereinafter referred to as: "the Bank") announces thaton December 3, 2025 the Supervisory Board of the Bank decided to appointMr. Andrzej Wilk to the Bank's Management Board with the position of theVice President of Bank's Management Board as of January 1, 2026 forconsecutive term of office. As part of the internal division of powersin the Management Board, Mr. Andrzej Wilk will be a Vice President ofthe Bank's Management Board responsible for retail banking.

Mr. Andrzej Wilkhas been the Vice President of the Management Board of Bank Handlowy wWarszawie S.A. since July 1, 2022.

Mr. Andrzej Wilkhas an extensive professional experience in banking, he joined BankHandlowy w Warszawie S.A. in 1997 as Planning and Business AnalysisSpecialist. Then, he held a number of managerial roles, including theCFO of Citifinancial Central Europe, supervising the development of over200 branches and points of sale. He was also the Head of Retail Bank inHungary, the Czech Republic and Romania. Between 2014 and 2018 he workedoutside of Citi, at Moneygram Polska as the Company CEO. Then, hereturned to the Bank and from 2019 he served as the Head of RetailProducts, Brokerage Services, Segments and Branch Network ManagementDivision.

Mr. Andrzej Wilkholds a Master's degree in Management and Marketing from the WrocławUniversity of Science and Technology.

Mr. Andrzej Wilkdoes not perform any competitive business activity to the Bank outsidethe Bank and he does not participate in a competitive company as apartner in a civil company, partnership, or joint stock company. He doesnot participate in a competitive legal entity as a member of itsgoverning body.

Mr. Andrzej Wilk isnot listed in the Register of Insolvent Debtors kept on the basis of theAct of August 20, 1997 in the National Court Register.
