Legal basis:§ 5 point 5) of theOrdinance of the Minister of Finance dated March 29, 2018 on current andperiodic information published by issuers of securities and theconditions for regarding as equivalent the information required by thelaw of a non-member state (Official Journalof 2018, item 757 with subsequent amendments).

Bank Handlowy wWarszawie S.A. (hereinafter referred to as: "theBank") announces that on May 29, 2025, the Supervisory Board of the Bankdecided to appoint Mr. Tomasz Dziurzyńskito the Bank's Management Board with theposition of the Member of the Management Board as of 1 June 2025 for afour-year term of office. As part of the internal division of powers inthe Management Board, Mr. Tomasz Dziurzyński will be a Member of theBank's Management Board responsible for operations and technology.

Mr. TomaszDziurzyński has extensive experience in the area of banking and financeand has been working at Citi for 19 years. He started his career in thearea of risk and control for Citi's technology infrastructureorganization in the EMEA Region.

In 2012-2013, Mr.Tomasz Dziurzyński was the Outsourcing Coordinator at Citi Handlowy. Heled a project to build a new framework for managing banking outsourcingand solve key business challenges.

For the next 3years, he was the Chief Risk and Control Officer at Citibank Europe PLC,Poland. He was responsible for defining an adequate control andmanagement supervision environment supporting the strategy of dynamicdevelopment of Citi Service Center in Poland.

From 2016, Mr.Tomasz Dziurzyński was the Manager of the Information SecurityManagement Division in the Operations and Technology sector at CitiHandlowy. He was responsible i.a. for the preparation and implementationof the Bank's Digital Resilience Strategy and the overall coordinationof risk mitigation activities in the area of operations and technology.He organized comprehensive transformation projects of the Banksupporting the implementation of the strategy.

Mr. TomaszDziurzyński is active in the Polish Bank Association as Vice-Chairman ofthe Presidium of the Bank Cybersecurity Committee.

Mr. TomaszDziurzyński is a Certified Information Systems Auditor (CISA) and aCertified Information Security Manager (CISM), he is also a CertifiedInformation Systems Security Professional (CISSP).

Mr. TomaszDziurzyński is a graduate of the Poznań University of Technology,majoring in Computer Science at the Faculty of Computer Science andManagement.

Mr. TomaszDziurzyński does not perform any business activity outside the Bank, andtherefore he does not perform any activity competitive to the Bank, hedoes not participate in a competitive company as a partner in a civilcompany, partnership, or joint stock company, neither does heparticipate in a competitive legal person as a member of its governingbody.

Mr. TomaszDziurzyński is not listed in the Register of Insolvent Debtors kept onthe basis of the Act of August 20, 1997 in the National Court Register.
