Subject: Nomination of a candidate for thefunction of a Member of the Supervisory Board of Bank Handlowy wWarszawie S.A.

Legal grounds:§ 19section 1 point 4) of the Regulation of the Minister of Finance of March29, 2018 on Current and Periodic Information Published by Issuers ofSecurities and Conditions for Regarding Information Required by the Lawof a Non-member State as Equivalent (Official Journal of 2018, item 757with subsequent amendments).

Further to the agenda of the Annual General Meeting("AGM") of Bank Handlowy w Warszawie S.A. convened to be held on 19 June2024, which was presented in current report no. 19/2024 of 22 May 2024,the Management Board of Bank Handlowy w Warszawie S.A. ("Bank") herebygive notice that Nationale-Nederlanden Otwarty Fundusz Emerytalny whichis a shareholder of the Bank, has submitted today as part of point 5(11)of the agenda of the AGM regarding the appointment of members of theBank's Supervisory Board for a further joint term of office of theBank's Supervisory Board Ms. Barbara Smalska as candidate.

Draft AGM resolution regarding the appointment ofmember of the Supervisory Board and the professional bio of thecandidate have been attached hereto.

Upon completing the preliminary suitabilityassessment of the candidate for the Supervisory Board Member as proposedby the shareholder, a relevant recommendation of the Bank's SupervisoryBoard Remuneration and Nomination Committee will be published on theBank's website:https://www.citibank.pl/poland/homepage/english/general-meetings.htm
