BankHandlowy w Warszawie S.A. announces that on June 23, 2022 the OrdinaryGeneral

Meetingof Bank Handlowy w Warszawie S.A. as of June 24, 2022 appointed Ms.Silvia Carpitella, Ms. Helen Hale and Andras Reiniger as members of theSupervisory Board of the Bank for the current joint term of office.

Ms.Silvia Carpitella serves as CFO and is a Board Member of Citibank Europeplc, Dublin Ireland at the same time she serves also as Europe CFO. From2015 to 2019 Ms. Carpitella was CFO in Citi Germany and Cluster CFO forContinental Europe, she was also a Board Member of Citigroup GlobalMarkets Europe (CGME). Earlier from 2010 to 2015 she served as CFO forSouth Europe Cluster in Milan at the same time double hatting CFO Italyand Spain, at this time she was also Board Member of Citibank Espana SA.From 1999 to 2003 Ms. Carpitella performed several managerial functionsin Citi, she was among others Italy ICG CFO, Southern Europe AuditCluster head. Ms. Silvia Carpitella started her professional career in1987 in ING. Olivetti _amp; C. S.P.A., Turin in the internal audit.

Ms.Silvia Carpitella graduated from University of Florence in Italy, with adegree in Business Administration.

Ms.Silvia Carpitella is not engaged in any activity competitive to BankHandlowy w Warszawie S.A., is not a partner to any competitive civilcompany, partnership or is not a member of the body of any competitivejoint stock company or any other legal entity. Ms. Silvia Carpitella isnot listed in the Register of Insolvent Debtors maintained pursuant tothe provisions of the Act of August 20, 1997 on the National CourtRegister.

Ms.Helen Hale serves as EMEA Senior Human Resources Officer. Ms. Helen Halehas 20 years' experience in human resources at Citi having completedassignments within graduate recruitment for the Investment Bank, HR forHR, Citi Private Bank, Global Functions and Operations and Technology.Between 2016 and 2018, Ms. Hale was also Cluster CHRO for Russia,Ukraine, Kazakhstan (RUK), Turkey, Israel including Poland based BankHandlowy. Prior to her recent appointment Helen was the Senior HRAdvisor for Markets and Securities Services in EMEA. Helen joined Citiin August 2000 after completing two years on a graduate programme atGlaxoSmithKline following her undergraduate studies.

Ms.Helen Hale has a BSc (Hons) degree in Pharmacology from King's College,London (University of London) and a Postgraduate Diploma inInternational Human Resource Management from Cranfield University.

Ms.Helen Hale is not engaged in any activity competitive to Bank Handlowy wWarszawie S.A., is not a partner to any competitive civil company,partnership or is not a member of the body of any competitive jointstock company or any other legal entity. Ms. Helen Hale is not listed inthe Register of Insolvent Debtors maintained pursuant to the provisionsof the Act of August 20, 1997 on the National Court Register.

Mr.Andras Reiniger is the new Chief Operating Officer (COO) for LegacyFranchises._#160;Mr. Reiniger willpartner closely with the Legacy Franchises Management Team to leadday-to-day business operations for the organization. He will beresponsible for Business Management including Business Planning,Strategic Planning, Financial Management and Risk Management, playing anintegral role in the execution of Citi Legacy Franchises divestiturestrategy and strategic priorities.

Mostrecently, Andras served as Head of Corporate Mergers _amp; Acquisitions(M_amp;A) for Citi, overseeing the team responsible for executing strategicacquisitions and divestitures for the firm globally. Since joining theteam in 2008, Andras has led M_amp;A activities for Citigroup's exits frominternational consumer businesses, as well as selected acquisitions.

Overthe past year, he led the divestiture efforts across Legacy Franchisesworking closely with our local, regional and global management teams.

Inthe years 2008-2012 as Senior Transactor in Corporate M_amp;A he managed theCiti Holdings divestiture programme across the regions, including theNordics, Portugal, Italy, Spain, Benelux, UK. In 2009 he was promoted toEMEA M_amp;A Head, and then to Managing Director in 2010. On the buy-side,he involved in smaller acquisitions in Russia, CEE, as well as selectedpartner card portfolios in the US.

Priorto joining Citi he worked for Schroders in UK M_amp;A and then moved toEuropean Financial Institutions Group in 1999 where he was involved in abroad range of transactions in the UK _amp; EMEA across banking, assetmanagement and insurance.

Hestarted his professional career as analyst at NatWest Markets, workingwithin the M_amp;A team, focused primarily on transactions in the UK.

Mr.Andras Reiniger has a BA (Hons) (Cantab) in Economics from TrinityCollege, Cambridge.
