Subject:Information about the appointment of member of the Management Board ofBank Handlowy w Warszawie S.A.

Legalbasis:§ 5 point 5) of the Ordinance of the Minister of Finance dated March 29,2018 on current and periodic information published by issuers ofsecurities and the conditions for regarding as equivalent theinformation required by the law of a non-member state (Official Journalof 2018, item 757 with subsequent amendments).

BankHandlowy w Warszawie S.A. ("the Bank") announces that on December 3,2021 the Supervisory Board of the Bank decided to appoint Ms. KatarzynaMajewska as Member of the Management Board of the Bank for a consecutive3-year term. The term of office begins on January, 11 2022. As part ofthe internal division of powers in the Management Board, Ms. KatarzynaMajewska will be a member of the Management Board of the Bankresponsible for operations and technology.

Ms.Katarzyna Majewska has extensive professional experience. She startedher professional career in 1994 in Business Power Systems. Ms. KatarzynaMajewska started working in the banking sector in January 1999 at BankHandlowy S.A., where she co-founded Handlobank, and after joiningCitibank Polska S.A. she was responsible, among others, for purchasingprocesses and real estate management in Poland. She participated innumerous international outsourcing projects and she introduced theCitigroup provider management strategies in Europe, Middle East andAfrica. In the period from July 2008 to December 2015, Ms. KatarzynaMajewska was the Managing Director for Administration, Purchases andReal Estate at PZU S.A., where she was responsible for strategic actionsin purchasing, administrative and real estate policies in the PZU Group,as well as real estate portfolio supervision and management,administrative and logistic processes, provider selection processes aswell as asset components and administrative expenses throughout thewhole PZU Group. Ms. Katarzyna Majewska joined the Bank again in January2016, where she has been Member of the Management Board from thebeginning and is responsible for the management of the Operations andTechnology Sector. Ms. Katarzyna Majewska has a university degreeobtained at the Main School of Planning and Statistics in Warsaw at theFaculty of Internal Trade and she completed MBA studies at the RotterdamSchool of Management RSM.

Ms.Katarzyna Majewska does not perform any business activity outside theBank, and therefore she does not perform any activity competitive toBank Handlowy w Warszawie S.A., she does not participate in acompetitive company as a partner in a civil company, partnership, orjoint stock company, neither does she participate in a competitive legalperson as a member of its governing body.

Ms.Katarzyna Majewska is not listed in the Register of Insolvent Debtorskept on the basis of the Act of August 20, 1997 on the National CourtRegister.
