Item 8.01 - Other Events

On November 19, 2019, the Board of Directors of the Company declared a special cash dividend of $0.04 per share of common stock. The dividend will be paid on or about December 23, 2019, to stockholders of record as of the close of business on December 9, 2019. A copy of a press release announcing the special dividend is attached hereto as Exhibit 99.1 .
