Item 8.01 - Other Events

On Friday, February 3, 2017, Bank of the James Financial Group, Inc. (the “Company”) issued a press release announcing that it had completed a private placement of $5,000,000 in unregistered notes (the “Press Release”). A copy of the Press Release is attached hereto as Exhibit 99.1 .
