Item 2.02 - Results of Operations and Financial Condition

On Friday, July 21, 2017, Bank of the James Financial Group, Inc. (the “Company”) issued a press release announcing financial results for the quarter ended June 30, 2017 (the “Press Release”). A copy of the Press Release is attached hereto as Exhibit 99.1 .

Item 8.01 - Other Events

On July 18, 2017, the Board of Directors of the Company declared a quarterly cash dividend of $0.06 per share of common stock. The dividend will be paid on or about September 22, 2017, to stockholders of record as of the close of business on September 8, 2017. A copy of the Press Release dated July 21, 2017 announcing the declaration of the dividend is attached hereto as Exhibit 99.1 .
