Item 2.02 - Results of Operations and Financial Condition

On Friday, January 23, 2015, Bank of the James Financial Group, Inc. (the “Company”) issued a press release announcing financial results for the quarter ended December 31, 2014 (the “Press Release”). A copy of the Press Release is attached hereto as Exhibit 99.1 .

Item 8.01 - Other Events

On January 20, 2015, the Board of Directors of the Company declared a quarterly cash dividend of $0.05 per share of common stock. The dividend will be paid on or about March 27, 2015, to stockholders of record as of the close of business on March 13, 2015. The dividend was announced in the Press Release.
