ITEM 8.01 Other Events

On Friday, January 16, 2009, the Company issued a press release announcing that it has received preliminary approval from the United States Treasury to participate in the Treasury’s Capital Purchase Program. The Company has the ability to issue and sell to the Treasury preferred stock and warrants to purchase shares of preferred stock of the Company in accordance with the terms of the Capital Purchase Program for an aggregate purchase price of up to $7.708 million. A copy of the press release is attached hereto as Exhibit 99.1 (the “Press Release”).
