INTRODUCTION

The policy is based upon the principles specified in:

• 1. art. 22aa of the Act of 29 August 1997 the Banking Law (i.e. J. L. of 2023 item 2488 as amended; hereinafter referred to as the Banking Law),
• 1. EBA and ESMA joint guidelines of 2 July 2021 on the assessment of the suitability of members of the management body and key function holders. (EBA/GL/2021/06) (hereinafter referred to as EBA Guidelines),
• 1. Methodology for assessing the suitability of members of governing bodies of supervised entities published by the Polish Financial Supervision Authority (KNF) of 27 January 2020 (as later amended; hereinafter KNF Methodology) and
• 1. Recommendation Z regarding the principles of corporate governance in banks (hereinafter Recommendation Z).

OBJECTIVE AND SCOPE OF THE POLICY

• 1. "The policy on the selection and assessment of the suitability of Members of the Supervisory Board of Bank Millennium S.A.", hereinafter referred to as "the Policy" is a tool to assure that Members of the Supervisory Board in the Bank Millennium SA Group (hereinafter referred to as the "Group") have suitable knowledge, professional experience and skills, guarantee due performance of their functions and can commit sufficient amount of time to duties allocated to them by the Group. In the long term the Policy is expected to support good governance within the Group, generation of stable results and proper operational risk management.
• 1. The Policy objective is to ensure that the Members of the Supervisory Board of Bank Millennium SA (hereinafter "the Supervisory Board") will have good reputation and will have qualifications suitable for:
  2. 1) the profile of the function performed,
  3. 2) scope and nature of tasks performed,
  4. 3) membership in committees of the Supervisory Board.
• 1. The policy is also designed to ensure that the Supervisory Board individually and collectively has an appropriate combined level of competences, in accordance with the EBA Guidelines, KNF Methodology and Recommendation Z and the observed market practice of the Polish banking sector.
• 1. The process and criteria for assessing suitability introduced by the Policy shall be applied in a proportionate manner, taking into account the nature, scale and complexity of the activity of Bank Millennium S.A. (hereinafter referred to as "the Bank") and scope of tasks and responsibilities of the Supervisory Board Member.

11. POLICY ADDRESSEES

1. The Policy shall be deemed to be applicable to Members of the Bank's Supervisory Board who, due to functions they hold, have a significant influence on the Bank's management - in virtue of holding supervisory authorities and are empowered to monitor the implementation the Group's strategy, objectives and development directions.

III. POLICY PRINCIPLES

1. Bodies responsible for the performance of suitability assessment

• 1.1. The selection and suitability assessment process is carried out by the competent bodies of the Bank, in view of specific tasks in this area carried out by the Personnel Committee of the Supervisory Board. Such process is supported, organisationally and by means of appropriate tools by the HR Department. In particular, the HR Department support covers the identification of the need to initiate the selection and assessment process, organisational coordination at all its stages, gathering, processing and filing documentation, as well as organising the process within assigned time frames. The HR Department may be assisted in performing certain of the above activities by an external advisor having documented competences and experience in this regard.
• 1.2. The selection and suitability assessment process covers: gathering relevant information and documents, performing self-assessment by the person subject to suitability assessment with the support of the HR Department, assessment interview conducted by the HR Department, assessment conducted by the Bank summarised in the assessment report.
• 1.3. The suitability assessment after a review of the collected materials performed by the Personnel Committee of the Supervisory Board - shall be issued by the Supervisory Board or General Meeting of Shareholders, depending on the circumstances of the assessment. The detailed list of the circumstances of assessment issued by the bodies enumerated in the previous sentence is contained in Attachment 4.
• 1.4. In the event of a suitability assessment performed by the Supervisory Board with respect to a given member, such person recuses him or herself from voting. The principle described in the preceding sentence pertains both to voting conducted by the Personnel Committee and by the Supervisory Board in the assessment process.

2. Suitability assessment process

• 2.1. The process of appointment to serve as Members of the Supervisory Board shall be composed, subject to pt. 2.8, of the following stages:
  • a) Definition, by the Personnel Committee of the Supervisory Board, of expected levels for the area of responsibility and areas of knowledge, skills and experience where the Supervisory Board Member is expected to have competence at level very high or level high in line with the grade scale adopted by the Bank,
  • b) notification to the Personnel Committee of the Supervisory Board of a candidate with indication of areas referred to in item above, subject to an option of submission of candidature also a, respectively, at General Meeting of Shareholders in accordance with the Bylaws of General Meeting of Bank Millennium S.A. Shareholders ..
  • c) suitability assessment by a relevant body in accordance with pt. 1.3.,
  • d) appointment as a Supervisory Board Member.
• 2.2. With respect to candidates for Members of the Supervisory Board the suitability assessment shall be performed prior to appointment for their functions.
• 2.3. In particular cases a suitability assessment can be conducted not later than four weeks after becoming a Supervisory Board Member, if a full suitability assessment made prior to the appointment of the Member were to distort the proper functioning of the Supervisory Board including in effect of the occurrence of the following situations:
  • i. if the need for succession in the case of a Supervisory Board Member function arises suddenly and unexpectedly (e.g. due to a vacancy),
  • when a member has been removed from his or her function, since he/she is ii. no longer a suitable person.
• 2.4. The suitability assessment process shall be performed at a rate ensuring the effective making of business decisions. In particular, the entire assessment process should not take, with respect to a single person, more than 90 days.
• 2.5. The process of suitability assessment requires cooperation and commitment of persons assessed, who shall deliver to the Bank any and all documents and data required in the suitability assessment process by the due date designated by the Bank. Absence of documents or data required to perform suitability assessment may become a basis for the Bank to issue negative assessment of suitability.
• 2.6. In case described in item 2.5. The Bank, prior to issuance of negative suitability assessment shall provide the assessed person with one time additional due date to deliver required documents or data.
• 2.7. A suitability assessment process shall include:
  • a) the verification of documents of the assessed person (CV, representations on forms prepared and transferred by the Bank, questionnaires, certificates or other documents and publicly available information) authenticated by a signature or by mailing from an authorised mail box;
  • b) self-assessment by individuals being assessed, and in the case of second assessment, the individual being assessed may self-assess by updating and supplementing the questionnaire transferred to the Bank during the previous assessment;
  • verification of certificates issued by appropriate authorities, including on no tax c) arrears and no criminal record;
  • d) verification of entries in KRS and BIK, however in the event of a preliminary suitability assessment - this is done after appointing the candidate;
  • e) e As an option, holding, by HR Department or external advisor of assessment interview to verify declarations of the assessed person against facts and supplementing data in documentation;
  • preliminary assessment by the HR Department or external advisor at the request f) of the HR Department;
  • preparation of a recommendation for assessment by the Personnel Committee; g)
  • h) suitability assessment by a relevant body in accordance with pt. 1.3 ;
  • i) documentation of the process and result of the assessment by the HR Department or an external advisor acting upon HR Department's request in a manner presenting the circumstances and criteria taken into account, as well as those left out in the process and justification for the assessment result in their light;
  • j) transfer of the assessment results (along with recommendations, if any) to KNF, preceded by a review/guidelines from the Personnel Committee of the Supervisory Board.
• 2.8. In the event of assessing a candidate for the Supervisory Board (other than a candidate previously assessed as part of steps taken by the Bank in accordance with this Policy) proposed by the Shareholder during the General Meeting of Shareholders electing the composition of the Supervisory Board for the new term of office, or in the situations specified in item 2.3:
  • a) the proposing Shareholder must supply and submit during the General Meeting the documents referred to in items 2.7. a-c;
  • the procedures described in items 2.7. e-f take place during the break in the b) deliberations of the General Meeting ordered in such situation by the Chairman of the General Meeting; Shareholders are at the same time informed on the contents of item 2.1-2.9 .;
  • c) subsequently, the General Meeting shall issue a suitability assessment;
• d) the HR Department shall document the assessment results (along with recommendations, if any) and transfer them to the Personnel Committee of the Supervisory Board and the Supervisory Board itself.
• 2.9. In justified cases it is possible for the General Meeting of Shareholders to elect a Supervisory Board Member in the mode specified in item 2.8. without first assessing his or her suitability. The Bank shall then try to have the individual and collective assessment of the Supervisory Board performed by the General Meeting not later than withing 4 weeks from the appointment of a given Supervisory Board Member.

3. Events resulting in the obligation to perform an assessment

Preliminary assessment of individual suitability

• 3.1. The process of individual suitability assessment should be performed in the following cases:
  • a) if it is intended to entrust to the candidate a function in the Supervisory Board,
  • b) in case of reappointment of a Supervisory Board Member, if the scope of responsibilities of the Member has been changed (the Member has been appointed to another function),
  • c) before a Member is appointed to a new function on the Supervisory Board,
  • d) before a Member of the Supervisory Board is appointed for the Audit Committee,
  • e) e before filing a notice of intent to acquire a qualified stake in a supervised entity or becoming its dominant entity (in the event of planned changes in the composition of the governing bodies);

Reassessment of individual suitability

• 3.2. The Bank shall repeat the individual suitability assessment process:
  • a) If there are reasonable doubts regarding the possession of individual or collective qualifications of the Supervisory Board, including:
    • i. objection being made regarding the suitability assessment results as submitted by the Polish Financial Supervision Authority;
    • ii. disclosure of information by the media with regard to persons subject to the suitability assessment process which will be deemed to be important for the suitability assessment process;
    • iii. arising of information within the annual process of appraising the results/process of assessing Supervisory Board Members, which might put their qualifications in question;
    • iv. identification of material infringements of duties;
    • arising of other information which might put in question the result of the V. > already completed suitability assessment process for Supervisory Board Members (e.g. complaints, filing of charges in a criminal or fiscal tax investigation, causing substantial property damage, conflict of interest).
  • b) If there are any developments having significant impact upon reputation of a given person, also in the case of non-compliance with rules governing management of conflict of interest, as effective in the Bank,
  • c) if there are reasonable grounds to suspect that money laundering or terrorist financing has been or is being committed or attempted, or there is an increased risk of their happening, and in particular in situations when available information suggests that the Bank:
    • i. has been used for money laundering or terrorism financing;
• ii. has infringed its obligations with respect to counteracting money laundering and terrorist financing in Poland or in a different EU member or third party state;
• iii. has materially changed its operations or business model in a way that its exposure to the risk of money laundering or terrorist financing has significantly increased,
• d) as part of an audit or review of corporate governance principles,
• e) prior to appointment for consecutive term of office,
• f) prior to planned removal from office,
• in the case of changing the scope of powers or requirements relating to the g) function held,
• h) in a situation of allocating additional powers or acquiring additional functions,
• the occurrence of regular or flagrant instances of negative second assessment, 1) individual or collective of Supervisory Board Members - in terms of guarantee of due performance by Supervisory Board Members in the context of appointing/retaining such persons on the governing body,
• j) in any other case having a significant impact upon suitability,
• k) periodically, once a year.
• 3.3. If more than one of the premises listed in paragraphs 3.1-3.2 occur simultaneously, i.e. the distance of the premises over time does not exceed 90 days, the Bank may conduct the assessment once. In such case, the assessment shall be performed taking account of all triggers occurring in this period.

Assessment of collective suitability

• 3.4. The Bank shall carry out the process of collective suitability assessment of the Supervisory Board, in particular:
  • a) when there are significant changes in the composition of the Supervisory Board, including:
    • i. at the time of planned changes in the composition of the Supervisory Board, including in effect of a direct or indirect acquisition or increase of a significant stake in the Bank;
    • ii. upon reappointment of Supervisory Board Members in case the function's requirements have changed or the Members are transferred to another function in the Supervisory Board;
    • iii. in case the appointed or reappointed Members cease to be Members of the Supervisory Board.
  • b) if new circumstances come to light that might have a material effect on the Supervisory Board's assessment:
  • c) there are reasonable grounds to suspect that money laundering or terrorist financing has been or is being committed or attempted, or there is an increased risk of their happening, and in particular in situations when available information suggests that the Bank:
    • i. has been used for money laundering or terrorism financing:
    • ii. has infringed its obligations with respect to counteracting money laundering and terrorist financing in Poland or in a different EU member or third party state;
    • has materially changed its operations or business model in a way that its iii. exposure to the risk of money laundering or terrorist financing has significantly increased,
  • d) when appointing or changing the composition of the Audit Committee;
• e) prior to appointing the composition of the Supervisory Board for a new term of office;
• when there is a major change in the Bank's business model, readiness to undertake f) risk or strategy relative to risk or structure at solo or group's level;
• as part of the control of internal management rules, as performed by the g) = Supervisory Board;
• in the event of changing the division of competences within the governing body, h) = including the participation in its committees;
• i) in any other case having a significant impact upon the collective suitability Supervisory Board.

4. Criteria taken into account when assessing suitability

• 4.1. Assessment of suitability of Supervisory Board Members is performed on the basis of criteria stipulated in the Banking Law and criteria listed out in detail in EBA Guidelines, KNF Methodology and Recommendation Z.
• Detailed criteria of individual assessment referred to in item 4.7. are contained in 4.2. Attachment 1 to the Policy. The Personnel Committee of the Supervisory Board shall specify levels of competence for individual Supervisory Board Members - expected levels of competence shall be defined by way of resolution, in line with item 2.1. let. a) hereof.
• 4.3. The collective suitability assessment of the Supervisory Board shall be conducted to verify whether the Supervisory Board Members, as a whole, are able to effectively question and monitor decisions made by the Management Board. Furthermore, the Supervisory Board should have sufficient management skills to effectively organise its tasks and understand, as well as question management practices and decisions applied and made by the Management Board. The Form of assessment of collective suitability of the Supervisory Board constitutes Attachment no. 2 to the Policy.
• 4.4. Members of the Supervisory Board shall have, as a whole, an appropriately broad scope of knowledge, skills and experience allowing them to present their views and influence the decision making process within the framework of the Supervisory Board.
• 4.5. Collective suitability assessment shall be performed by way of comparing individual key areas of knowledge and specialisation of Supervisory Board Members and composition of these areas within the governing body as a whole.
• The scale and criteria of suitability assessment both individual and collective are 4.6. contained in Attachment 5.
• 4.7. The suitability assessment process shall take account of the following criteria:
  • a) guarantee of due performance, including no criminal record, reputation, no links to incidents of money laundering and terrorist financing or tax crimes, financial situation, and also independence of judgment, which includes conflict of interest and behavioural features, professional experience, skills and knowledge;
  • b) committing necessary time to perform duties attached to the function held;
  • combining positions and functions; c)
  • d) = being independent;
  • in the case of assessing Audit Committee Members independence and knowledge, e) e) skills and experience specific for the Audit Committee, as listed out in Attachment 1:
• 4.8. The Bank shall document records relative to all external functions and professional and political positions held by a Member of the Supervisory Board. A Member of the Supervisory Board shall notify the Bank on any and all new functions and posts within 30 days from taking up or resigning from such functions. The number and nature of functions and posts which a Member of the Supervisory Board may hold concurrently with the function held at the Bank are specified in Attachment 3.
• 4.9. The Bank shall assess which of the Members may be deemed to be independent in a sense that they have no and in the past had no links or relations with the Bank or its Management Board, which might affect the objective and balanced assessment by such Member, and would restrict the Member's ability to make decisions in an independent manner.
• 4.10. The Bank shall ensure that there are at least two independent Members in the composition of the Supervisory Board and, that conditions are met with regard to composition of the Audit Committee of the Supervisory Board, as provided for in the Bylaws of the Supervisory Board of Bank Millennium S.A..
• 4.11. When assessing the nature of incidents potentially affecting the guarantee of due performance, the Bank shall take account all evidence or serious charges based on appropriate, credible and true information (e.g. as part of procedures for reporting irregulates), which suggest that a given person operates contrary to high standards of conduct, type of ruling or charges, the role performed by a given person in the event of default, penalty imposed, the stage of court proceedings reached and remedial actions undertaken. The Bank should analyse accompanying circumstances, including extenuating factors, seriousness of a crime, administrative or supervisory action, time expired since the crime was committed, a given person's conduct since the crime or action and connection between the crime or action with the role performed by the Member.
• 4.12. When reassessing individual or collective suitability of Members of the Supervisory Board, the following shall be taken, in particular, into account:
  • effectiveness of procedures applicable to work of the Supervisory Board, including a) a the effectiveness of the information flow;
  • b) effective and prudent management of the institution including whether the Supervisory Board act in the best interest of the Bank; also with respect to counteracting money laundering and terrorist financing;
  • ability of the Supervisory Board to focus on strategically important issues; c) c) c
  • adequacy of the number of meetings convened, attendance, time committed and d) active participation in meetings;
  • all changes in the composition of the Supervisory Board and weaknesses regarding e) e) individual and collective suitability, taking account of the Bank's business model and its risk strategy and changes thereto;
  • objectives in terms of results of activities as determined for the Bank as well as f) = the Supervisory Board;
  • independence of judgment of the Supervisory Board Members, including g) = requirement for decision making not to be dominated by any person or a small group of persons and compliance, by Supervisory Board Members, with principles governing conflict of interest management;
  • degree to which the Supervisory Board membership meets the objectives defined h) = in the Bank's policy with regard to diversity,
  • i) reasonable grounds to suspect that money laundering, terrorist financing or other financial crime is being committed or has been attempted; or there is an increased risk of such crimes, which has been disclosed following the findings performed by internal, external auditors or competent authorities, relating to adequacy of the AML/CFT control systems of the Bank.
• 4.13. As part of suitability reassessment the Bank should pay particular attention to:
  • a) division of duties and responsibility lines in order to determine if any material fact or determination should be attributed to one or more responsible Supervisory Board members;
  • b) the credibility of any facts which caused reassessment (e.g. source and its credibility, any conflicts of interest of the source providing the information) and

the seriousness of any charges or actual misconduct of one or more Members of the Supervisory Board. The Bank should not assume that the absence of a conviction alone may be sufficient grounds for leaving identified events out of a suitability reassessment process.

5. Diversity in the Supervisory Board

• 5.1. The Bank shall promote diversity within the Supervisory Board in order to embrace a broad scope of properties and competences when recruiting Members of the Supervisory Board in order to bring together different viewpoints and experiences and facilitate the issuing of independent opinions and reasonable decisions of the Supervisory Board.
• 5.2. Detailed principles of diversity in the Supervisory Board are specified by the Bank in the Diversity Policy in the Bank Millennium Group.
• 5.3. Within the annual review of the composition of the Supervisory Board the Bank shall document compliance with the targets specified in the Diversity Policy of the Bank Millennium Group and, if necessary, shall determine reasons why the said targets are not met and shall indicate measures and due dates for the measures to be undertaken.

6. Suitability assessment result

• 6.1. When documenting the process and results of the suitability assessment of Supervisory Board Members, the Bank shall prepare a form of individual assessment of suitability (Attachment 1) and the form of collective suitability assessment (Attachment 2).
• 6.2. A positive result of the assessment of candidate suitability shall allow him/her to hold a function of Supervisory Board Member.
• 6.3. A negative result of the assessment of candidate suitability shall not allow him/her, in principle, to perform the function of Supervisory Board Member. In particular:
  • a) in case of the criterion regarding the guarantee of due performance a negative result of suitability assessment shall render the performance of a function in the Supervisory Board impossible;
  • b) in case of the criterion of knowledge, skills, and experience the Bank shall analyse the possibility of supplementing shortcomings in this regard, in particular by way of additional training the Bank may suspend the employment/appointment option until appropriate qualifications are obtained to be confirmed by the process of suitability reassessment;
  • c) with regard to independence of judgement criterion and conflict of interest . negative outcome renders performance of function impossible until circumstances resulting in non-compliance with the criterion are eliminated, which should be reflected in reassessment of suitability.
  • d) in case of a criterion regarding commitment of time and number of functions held:
    • i. negative outcome renders appointment the assessed person to the function impossible until such persons resigns from holding additional functions in excess of requirements provided for, in particular, in art. 22aa sect. 3 of the Banking Law and Attachment 3,
    • ii. in case of reassessment and periodical assessment a negative result shall render performance of function impossible until circumstances of failure to meet the criterion are eliminated - the Bank may withhold issuance of negative assessment until the procedure referred to in items 6.4. - 6.6. below is completed.
  • e) in the case of a collective assessment the Bank shall ensure having a right composition of knowledge, skills and experience, in particular through

replacement of certain Members, recruitment of additional Members, organisation of training for particular Members or the governing body as a whole.

• 6.4. In cases provided for in item 6.3. let. b) e) a body authorised to perform assessment in accordance with item 1.3., prior to issue of a negative result of individual assessment and recalling the Supervisory Board Member by the General Meeting, may designate a term no longer than 90 days to remove obstacles prohibiting performance of the function.
• 6:5. In case of occurrence of circumstances referred to in item 6:3. let. b), suitability assessment shall specify necessary scope of knowledge and skills to be supplemented in order to perform function. The knowledge and skill supplementing process shall be supported, organisationally and by means of appropriate tools by the HR Department. In particular, the HR Department shall present the Supervisory Board Members with detailed scope and proposals of necessary supplementary training and shall organise the training process within the designated time frame.
• 6.6. Knowledge and skills should be supplemented not later than within 90 days from the assessment.
• 6.7. After the period referred to in items 6.4. and 6.6. above, the Bank shall reassess suitability of a Supervisory Board Member with regard to the areas where gaps were found.
• If a procedure referred to in items 6.4. 6.6. above is applied, relevant body, in line with 6.8. item 1.3. shall perform individual suitability assessment of the Supervisory Board Members and collective suitability assessment of the Supervisory Board excluding the Supervisory Board Member to whom one of the said procedures have been applied.
• 6.9. In case of negative result of assessment of the Supervisory Board Member, relevant body in keeping with item 1.3. shall initiate procedure of recalling the Supervisory Board Member by the General Meeting.
• 6.10. The Bank shall immediately inform KNF about the negative outcome and the steps taken in its connection.

7. Familiarisation with the duties and training principles

• 7.1. The Bank shall implement its training policy designed to familiarise with the duties and train the newly appointed Members of the Supervisory Board and ensure their suitability and compliance with the requirements applicable to a given function held, as well as a further development of competences during the holding of such function.
• 7.2. The Management Board supported by the HR Department shall establish a mandatory process of familiarisation with the duties for newly appointed Members of the Supervisory Board. The objective of the said familiarisation process shall be:
  • a) to help Supervisory Board Members better understand the Bank's structure, business model, risk profile and findings relating to management and their role;
  • b) to provide the knowledge of appropriate statutory, executive and administrative regulations necessary for holding functions, as well as of culture, values, expected behaviour and strategies relating to the Bank and its Management Board and Supervisory Board;
  • c) to provide appropriate training programmes adequate with respect to their functions. Training programmes should also promote the awareness of benefits from diversity within the Supervisory Board.
• 7.3. The Bank shall ensure the allocation of sufficient funds to familiarise with the duties and to train Supervisory Board Members both individually and collectively.
• 7.4. A training schedule for newly appointed Members of the Supervisory Board shall be as follows:
• a) within 1 month of appointment, the Members should receive key information on the structure, business model, risk profile and Bank management issues as well as the role of the Members;
• b) within 6 months from appointment the Members should complete introductory training for newly appointed Members;
• c) within one year from appointment the Members should, if necessary, complete required additional training programmes covering areas of knowledge and skills requiring to be supplemented.
• 7.5. Members of the Supervisory Board, Compliance Department HR Department and the Personnel Committee (within the framework of the suitability assessment process) may present to the Supervisory Board any additional training needs whenever the training policy for newly appointed members of the Supervisory Board needs to be updated. The training principles for the newly appointed Members of the Supervisory Board should be subject to changes and adjustments in order to reflect any and all important changes in management, strategic changes in the Bank, introduction of new products and other important changes in effective regulations as well as the market situation.

8. The principles of succession in the event of sudden and unexpected events

• 8.1. If due to sudden and unexpected events a vacancy occurs in the function of a Member of the Supervisory Bord the Bank shall strive to ensure the continuity of the function performance.
• 8.2. When a vacancy occurs in the function of Member of the Supervisory Board, the Board shall assess the totality of the circumstances surrounding the vacancy and appropriately decide on temporary reorganisation, in particular with respect to:
  • a) temporary entrusting of the scope of activities relevant to the absent Member of the Supervisory Board to the Supervisory Board, Chairman of the Supervisory Board or another Supervisory Board Member,
  • b) temporary entrusting of the function as part of a Supervisory Board committee to the Chairman of the Supervisory Board or another Supervisory Board Member.
• 8.3. In the event of a permanent vacancy in the function of Member of the Supervisory Board, the General Meeting of Shareholders shall take steps as specified in the Bank's Articles of Association to fill in the gap in the composition of the Supervisory Board.
• 8.4. An individual and collective suitability assessment can be conducted after appointing a Member of the Supervisory Board in each of the following cases for which the Bank presented a suitable justification:
  • a) appointment by the shareholders at the General Meeting of Shareholders of Supervisory Board Members other than candidates previously assessed as part of the steps taken by the Bank in accordance with this Policy,
  • b) if the full suitability assessment prior to the appointment of Supervisory Board Members were to distort the correct functioning of the Supervisory Board, and the need to appoint the Members appeared suddenly or unexpectedly, including as a result of the following situations:
    • i. resignation or death of a Supervisory Board Member;
    • if. revoking of a Supervisory Board Member from his or her function due to the non-compliance with suitability requirements.
• 8.5. The Bank shall not, in a situation specified in item 8.4, assess the suitability of candidates for Members of the Supervisory Board proposed at the General Meeting of Shareholders who have not ultimately been appointed Members of the Supervisory Board.
• 8.6. The General Meeting of Shareholders shall perform an individual suitability assessment of an appointed Supervisory Board Member and collective suitability assessment of the Supervisory Board, however the Bank shall strive for such assessment to be performed

not later than within 4 weeks after appointment of candidates to Members of Supervisory Board or implementation of change in its composition in case specified in item 8.4.

IV. FINAL PROVISIONS

• 1. The Policy and its application shall be subject to periodical reviews to be performed by the Internal Audit Department.
• 1. The Suitability Assessment Policy shall enter into force upon approval by the General Meeting of Shareholders.

1. -Calculation of the number of director functions (directorships

Each member of the Supervisory Board shall limit his/her additional directorial duties. It is necessary to ensure that a Member of the Supervisory Board have at the same time only one of the following combinations of director functions:

• a. one function in a management board and two functions in a supervisory board (non-executive function)
• b. four functions in a supervisory board (non-executive function)

The above executive or non-executive functions shall be calculated as a single director function, if:

• a. they are held within the same capital group,
• b. they are held in institutions belonging to the same institutional protection system, subject to compliance with the conditions provided for in art. 113 sect. 7 of the Regulation (UE) no. 575/2013,
• c. they are held within enterprises (including non-financial entities), in which the Bank Millennium Group or BCP Group hold a significant stake.

Furthermore, when functions are calculated as one, the following rules shall apply:

• a. several director functions shall be calculated as a single executive function, if covering at least one executive function; in all other cases it will be calculated as one non-executive function,
• b. all director functions held within enterprises in which the Bank Millennium Group or BCP Group hold significant stakes, but which are not subsidiaries within the same group shall be counted as a single director function. A director function in such enterprise shall be deemed to be a separate director function;
• c. in case the member of a governing body performs a director functions in various groups or enterprises, all director functions held within the same institutional protection system shall be calculated as a single director function.
• d. if a number of institutions within the same group hold significant stakes, a director function in such enterprise shall be calculated with regard to a consolidated situation (on the basis of the scope of accounting consolidation) of the institution as one, separate director function.
• e. if a Member of a Governing Body holds director functions in different groups or enterprises, all director functions held within the framework of the same institutional protection scheme referred to in art. 91 sect. 4 letter b) subitem (i) of the Directive 2013/36/UE shall be calculated as a single director function. If the application of the rule referred to in art. 91 sect. 4 letter b) subitem (i) of the Directive 2013/36/UE regarding the way of calculating director functions within the same institutional protection scheme leads to the calculation of a bigger number of director functions than in cases of application of the rule stipulated in art. 91 sect. 4 letter a) regarding the way of calculating director functions within the group, the lower number of director functions shall apply,
• f. director functions held in units which do not operate to achieve mainly commercial targets do not have to be taken into account when calculating the number of director functions in accordance with art. 91 sect. 3 of the Directive. However, this activity shall be taken into account in calculating the time committed by a specific Member.

Circumstances of performance of a suitability assessment, under which the assessment is issued by the Ordinary General Meeting of the Bank's Shareholders:

• a) prior to planned appointment (assessment of a Candidate);
• b) prior to appointment for consecutive term of office;
• c) prior to a planned removal of a Governing Body's member from office;
• d) before filing a notice of intent to acquire a qualified stake in a supervised entity or becoming its dominant entity (in the event of planned changes in the composition of the Governing Bodies);

Circumstances of conducting a suitability assessment in the assessment is issued by the Bank's Supervisory Board:

• a) before appointing a Member of the Supervisory Board member of the Audit Committee . with respect to meeting the criteria specific for the Audit Committee;
• b) as part of an audit/review of the corporate governance principles;
• c) in case another function is entrusted or undertaken or performance of another activity (assessment in terms of time commitment and conflict of interest);
• d) before the end of the term (regardless of whether an appointment for another term of office is planned) ";
• when the Personnel Committee receives credible information that may cause reasonable e) doubts as to the Member's meeting the suitability criteria;
• f) In the event of receiving information that a Member has been charged in a criminal proceeding or a case for a fiscal offence or has caused a significant property damage, in particular if there are reasonable grounds to suspect that money laundering or terrorist financing has been or is being committed or attempted, or there is an increased risk of their happening;
• g) in case the Member provide information about changes in his or her professional qualifications, reputation or additional governance criteria affecting the assessment;
• h) if new circumstances come to light that could have a material effect on the assessment, in particular with respect to identified cases of conflict of interest;
• in case of occurrence of regular or persistent negative reassessment of the Supervisory Board 1) = - in terms of guarantee of due performance by Supervisory Board Mebers in the context of appointment/retaining of such persons in the Supervisory Board;
• j) In the event of a change in the generally applicable law, recommendations of supervisory authorities or the Bank's internal regulations specifying the range of professional qualifications required to perform a particular function;
• k) in the event of identifying material infringements of duties of members of the Body;
• l) every year as part of periodical suitability assessment.

* If an appointment is planned for the next term and the assessment related to the term shows a coincidence in time with the assessment related to the appointment for another term, then in accordance with the principles specified in the Policy a single process shall be conducted for the assessment to be issued by the General Meeting of Shareholders.

Attachment 5 - The scale of assessment and criteria of individual and collective assessment of the Supervisory Board

1. As part of the process of assessing the individual and collective suitability the Bank shall assess the level of knowledge, skills and experience of Members of the Supervisory Board according to the following scale:

High (4)	Experience: extensive, over 2 years of experience in a given area of competence related to responsibility for a given area in a managerial, managerial, supervisory or; Knowledge: advanced knowledge in a given area of competence, supported by extensive academic experience (i.e. supported by theoretical knowledge) or; Skills: high-level skills in a given area of competence supported by general training in the field.
Average (3):	Experience: extensive, minimum 2 years of experience related to a given area of competence holding managerial, leadership, supervisory position or; Knowledge: Adequate knowledge of the main topics typical of the area of competence, supported by academic experience (i.e. supported by theoretical knowledge) or; Skills: skills in a given area of competence supported by general training in the field.
Basic (2)	Experience: narrow experience in a given area of competence or; Knowledge: Basic knowledge in the area of main issues typical for a given competence area or; Skills: chosen skills at the basic level in a given area of competence
None (1)	Lack of experience, knowledge or skills in the given competency area.

Assessment of collective suitability

• 1. The Bank's Supervisory Board should have an appropriate number of Members in order to ensure that in every area of knowledge, skills and experience subject to assessment, the Supervisory Board has at least one Member assessed at a very high level (5) and one Member who received a high level grade (4), in keeping with the above grade scale adopted in Bank.
• 1. Chairman of the Supervisory Board should be given a very high grade in the competence chairing meetings.
• 1. In case of other areas of knowledge, skills and experience each Member should be assigned with at least average grade (3).
• 1. The membership composed this way should be appointed for a term securing continuity of the bank's operation.
