SUBJECT: Submission to Bank Millennium S.A. by shareholderNationale-Nederlanden Otwarty Fundusz Emerytalny of the draft resolutionon candidate for the Bank's Supervisory Board of the new term.

Management Board of Bank Millennium S.A. [Bank] informs that the Bankreceived from its shareholder Nationale-Nederlanden Otwarty FunduszEmerytalny represented by Nationale-Nederlanden Powszechne TowarzystwoEmerytalne S.A. in Warsaw [Nationale-Nederlanden Otwarty FunduszEmerytalny] candidacy of Ms. Anna Mankiewicz-Rębkowska for a member ofthe Bank's Supervisory Board of the new term of the Supervisory Board,with draft resolution of the Ordinary General Shareholders' Meeting ofthe Bank [convened for 27 March 2025] in the matter of appointment ofMs. Anna Mankiewicz-Rębkowska as member of the Supervisory Board of theBank.

Nationale-Nederlanden Otwarty Fundusz Emerytalny is a shareholderauthorised to make such a submission as it holds shares of the Bank inthe quantity required by Art. 401 § 4 of the Code of CommercialCompanies, specifying that the shareholder making the submission shouldrepresent at least one twentieth of the share capital of the company.

The submitted draft resolution concerns item 18 of the Agenda of theOrdinary General Shareholders' Meeting covering selection and assessmentof suitability of the candidates for members of the Supervisory Board ofthe Bank, and election of Members of the Supervisory Board.

The Bank is enclosing to this report the curriculum vitae of thecandidate and the received draft resolution.

Ms. Anna Mankiewicz-Rębkowska agreed to submit her candidacy for amember of the Bank's Supervisory Board. The candidate is independent,does not conduct any competitive activity in relation to the Bank,either as a shareholder/participant of competitive companies or as amember of the corporate authorities of such companies. She is not listedin the register of insolvent debtors.
