Subject: The Court registered changes of Articles of Association of BankMillennium S.A.

The Management Board of Bank Millennium S.A. (the "Bank") informs thatit learned that on 23 August 2021 the Regional Court for Warsaw inWarsaw, 13th Business Department of the National Court Registerregistered the change of the Bank's Articles of Association adoptedpursuant to § 1 item 2/-4/ of Resolution No. 44 ("the Resolution") ofthe Bank's Ordinary General Meeting of 24 March 2021. The Bank publishedthe text of the a/m Resolution in Current Report No. 12/2021 of 24 March2021. Proceedings regarding the change of the Articles of Associationstemming from § 1 item 1/ of the Resolution are pending.

The registered change involves:

1/ in § 8 sect. 1, after item 3/ the full stop shall be replaced with acomma and item 4/ shall be added, reading:

"4/ adoption of a resolution pronouncing an opinion on the SupervisoryBoard report, prepared in keeping with art. 90g of the Act of 29 July2005 on Public Offering, Conditions Governing the Introduction ofFinancial Instruments to Organised Trading, and Public Companies.";

2/ in § 15:

- in sect. 1, after the first sentence, the following sentence shall beadded:

"Participation in the meeting shall also be possible with the use ofmeans of distance communication.",

- in sect. 3 the first sentence shall read:

"The Supervisory Board may pass resolutions also by means of voting inwriting, as well as with use of means of distance communication, if allmembers of the Supervisory Board were informed about the wording of thedraft resolution and at least half of the Supervisory Board members tookpart adopting the resolution.";

- section 4 shall be deleted;

3/ in § 21 sect. 5, after the second sentence a sentence shall be added,reading:

"Members of the Management Board may take part in adopting ManagementBoard resolutions by casting their votes in writing throughintermediation of another member of the Management Board."

Legal basis: Par. 5 point 1 of the Regulation of the Minister of Financeof 29 March 2018 on current and periodical information disclosed byissuers of securities as well as conditions to be met when recognisingas equivalent the information disclosed under laws of a state which isnot a member state.
