MATERIAL FACT

Further to the Material Fact Announcement published on July 5, 2013, Grupo Santander announces that Santander Consumer USA Holdings Inc., a company in which it holds 64.8% of the share capital, has registered with the U.S. Securities and Exchange Commission a registration statement for the initial public offering of shares of Santander Consumer USA Holdings, Inc. and the listing of such shares in the New York Stock Exchange.

The amount to be placed has not been decided yet, but it is expected that after the offering Grupo Santander will retain 60.7% of the share capital of Santander Consumer USA Holdings, Inc.
