MATERIAL FACT

With respect to the "Banesto Bond Issue 2012", with ISIN code ES0313440150 for an amount of four hundred and ninety-seven million, four hundred and sixty-six thousand (497,466,000) euros, the Securities Note for which was entered in the Registers of the National Securities Market Commission on 23rd March 2012,  Banco Santander, S.A. (the "Bank") hereby announces that the new liquidity institution for such issuance is Banco Popular Español, S.A. (the "Liquidity Provider Institution"), by virtue of the liquidity contract signed between the Bank and the Liquidity Institution on 6th June 2013.
