ANNOUNCEMENT

Banco Santander Totta, S.A. ("Bank") hereby follows up on its notice of 18 March 2024, regarding the proposed simplified mergers of the Bank with its subsidiary TaxaGest – Sociedade Gestora de Participações Sociais, S.A. ("TaxaGest") and with its majority shareholder Santander Totta – SGPS, S.A. ("Santander SGPS"), both to be carried out by incorporating each of these companies into the Bank, through the global transfer of their estate to it, and on its notice of 20 November 2024, in which it informed of the approval of the mergers by the European Central Bank and its expectation to complete such mergers.

The Bank informs that it requested today the registration of the aforementioned mergers with the Commercial Registration Office, which procedure shall be completed before the end of next week. The mergers will produce effects from the date of the registration request, i.e. as from today (28 February 2025).

In this way, the process of the projected mergers communicated earlier by Bank will be completed.
