ANNOUNCEMENT

Banco Santander Totta, S.A. informs that, in the context of a competitive process, on 17 June 2016 it entered into with Banif – Banco de Investimento, S.A. a share purchase agreement with respect to the entirety of the shares representing the share capital of Gamma – Sociedade de Titularização de Créditos, S.A., a securitisation company registered with the Portuguese Securities Market Commission under number 9152, and relevant credits for equity contributions. Completion of this transaction is dependent upon the fulfilment of the usual conditions in this kind of transactions, namely obtaining the authorizations that prove to be necessary from the respective competent authorities.
