ANNOUNCEMENT

Banco Santander Totta, S.A. ("Banco Santander Totta") informs that following the resolution measure applied to Banif – Banco Internacional do Funchal, S.A. ("Banif") by the Bank of Portugal on 20 December 2015, and the consequent acquisition by Banco Santander Totta of a set of rights and obligations, that constituted assets, liabilities, off balance sheet items and assets under the management of Banif, as listed in the resolution passed by the Bank of Portugal in that respect, the position of issuer assumed by Banif in relation to covered bonds issued under its covered bonds programme and senior bonds (unsubordinated), which ISIN codes are listed below, has, pursuant to the provisions of the law and the alluded resolution measure, been transferred to Banco Santander Totta:
