Merger by incorporation of Bipielle Real Estate S.p.A. in Banco BPM S.p.A.: notice of completed filing of documents

Milan, 12 August 2021 – Further to the press release of 9 February 2021, notice is hereby given that, on today's date, following obtainment of the authorisation of the merger issued by the European Central Bank, the plan for the merger by incorporation of Bipielle Real Estate Società per Azioni ("BRE") in Banco BPM Società per Azioni ("Banco BPM"), drafted in accordance with articles 2501-ter and 2505 of the Italian Civil Code (the "Merger Plan"), was filed at the competent Register of Companies.

This operation is part of the initiatives to rationalize the corporate and operational structure of the Banco BPM Group, responding to the needs of simplification and rationalization of the structure, the optimization and enhancement of people, as well as the reduction in costs and it shall not entail an impact on the capital ratios and on the consolidated financial statements of the Banco BPM Group.

It is also hereby stated that, in compliance with the legislation in force, the Merger Plan, together with the balance sheet positions pursuant to art. 2501-quater of the Italian Civil Code represented by the financial statements of Banco BPM and BRE as at 31 December 2020, are available to the public from today's date at the registered office of the companies participating in the merger, at Borsa Italiana S.p.A., on the website of Banco BPM www.gruppo.bancobpm.it (section "Investor Relations > Corporate transactions >2021 - BRE Merger") and on the website of the authorised storage mechanism .

Lastly, notice is hereby given that, in compliance with the legal regulation in force, the respective financial statements of the last three financial years of the companies participating in the merger are available to the public at the registered office
