EARLY REDEMPTION OF THE INSTRUMENT "EURO 400,000,000 6.125% ADDITIONAL TIER 1 NOTES"

ISSUED BY BANCO BPM S.P.A.

Milan, 20 December 2024 – Banco BPM S.p.A. announces its intention to exercise the call option on the "Euro 400,000,000 6.125% Additional Tier 1 Notes" (ISIN XS2089968270).

This instrument, issued on 21 January 2020 and placed to institutional investors, has an outstanding amount of Euro 400,000,000, including Euro 179,487,000 repurchased by the Issuer in July 2024.

According to the instrument terms and conditions, the earliest date for the exercise of the call is 21 January 2025. To this end, the Bank will proceed to the publication of a specific notice to the noteholders, in the manner and within the time limits indicated in the terms and conditions.

The Issuer has obtained the permission of the Relevant Authority to redeem the Notes in accordance with the Applicable Banking Regulations.
