ANTONIA COSENZ APPOINTED AS CHIEF GOVERNANCE OFFICER

The new Chief will coordinate the group corporate affairs, legal and regulatory functions for the Banco BPM Group

Milan, 24 March 2026 – In today's meeting, under the chairmanship of Massimo Tononi, the Board of Directors of Banco BPM has appointed Antonia Cosenz as Chief Governance Officer of the Banco BPM Group with effect from today.

A lawyer with extensive experience in the legal and financial sectors, Antonia Cosenz has held the role of Head of Legal and Regulatory Affairs at Banco BPM since January 2017 (year of incorporation of Banco BPM), leading a team of over 200 professionals and serving as a board member in Group companies. Before joining BPM (one of the two banks that formed the current Banco BPM Group), she worked at a leading law firm, specializing in corporate law and capital markets, advising leading issuers and financial institutions on corporate matters and corporate governance, as well as on special transactions and corporate finance.

With her appointment as Chief Governance Officer, she has been entrusted with a new function known as Group Corporate Affairs, which will be responsible for the management of the Corporate Secretariat, Group Corporate Advisory Services, General Affairs, Regulatory Monitoring, and the Management of Complaints and Alternative Dispute Resolution Procedures. She is also confirmed as coordinator of the Group's Legal Department, with direct responsibility for Legal Advisory Services, Litigation, Financial Law and Relations with Supervisory Authorities.

The establishment of the Chief Governance Officer, who reports directly to the Chief Executive Officer, responds to the need to broaden oversight of Corporate Governance and legal matters in light of both the changed regulatory and banking environment and the expansion of the Group's areas of specialization. The new structure aligns with the organizational models adopted by leading international peers, in which the governance function plays a leading role.

Please also note that – in compliance with art. IA.2.6.7 of the instructions accompanying the Rules of the Markets organized and managed by Borsa Italiana S.p.A. – Antonia Cosenz owns no. 125,049 shares in Banco BPM.
