BANCA SISTEMA: AMENDMENTS TO THE PRESS RELEASE ISSUED ON 23 APRIL 2020

Milan, 24 April 2020

The press release issued on 23 April 2020 concerning "Banca Sistema: Ordinary and Extraordinary Shareholders' Meeting" has been partially amended as follows:

• the Board of Statutory Auditors appointed to a term of office of three financial years at the Shareholders' Meeting of 23 April 2020 shall remain in office til the Shareholders' Meeting called to approve the financial statements at 31 December 2022;
• the only list filed, from which all the Statutory Auditors appointed were selected, obtained the favourable vote of 83.69% of the share capital present and entitled to vote at the aforementioned Shareholders' Meeting, corresponding to 46.79% of the share capital entitled to vote.

Banca Sistema, established in 2011 and listed since 2015 on the Star segment of Borsa Italiana, is a financial institution specialising in the purchase of trade receivables towards the Public Administration and tax receivables and is active in consumer credit in the sectors of salary-, pension- and pledge-backed loans. The Bank operates in salary- and pension-backed loans through both the purchase of loan portfolios and the direct origination of the QuintoPuoi product. In the pledge credit segment it operates together with the wholly owned company ProntoPegno S.p.A.. It is also active, with approximately 35 thousand customers, in the deposit sector with products that include current accounts, deposit accounts and securities accounts, as well as offering other types of services such as the management and recovery of receivables, sureties and deposits, the certification of PA receivables and electronic invoicing. With offices in Milan and Rome, today Banca Sistema is also present in Bologna, Pisa, Naples, Palermo and Rimini, employing 215 people and using a multichannel structure.
