In relazione all'assemblea ordinaria e straordinaria degli azionisti convocata per il 27 novembre 2020, si informa che sono a disposizione del pubblico presso la sede sociale, sul sito internet di Banca Sistema all'indirizzo www.bancasistema.it (Sezione Investors/ Governance/ Assemblea Azionisti/ 2020/ 27 novembre 2020), nonché sul sito internet del meccanismo di stoccaggio autorizzato , i seguenti documenti:

• Relazione illustrativa del consiglio di amministrazione sul punto 1 all'ordine del giorno (Assemblea Ordinaria: Pagamento del dividendo derivante dall'utile di esercizio 2019. Deliberazioni inerenti e conseguenti).
• Relazione illustrativa del consiglio di amministrazione sui punti 2, 3 e 4 all'ordine del giorno (Assemblea Straordinaria: punto 2 - Modifica dell'art. 10.2 dello statuto sociale, per introdurre la possibilità di eleggere due amministratori anziché uno dalla lista di minoranza. Banca Sistema, nata nel 2011 e quotata dal 2015 sul segmento Star di Borsa Italiana, è una realtà finanziaria specializzata nell'acquisto di crediti commerciali verso la PA e di crediti fiscali ed attiva nella cessione del quinto dello stipendio e della pensione sia attraverso l'acquisto di portafogli di crediti che l'attività di origination diretta del prodotto QuintoPuoi. With reference to the Ordinary and Extraordinary Shareholders Meeting, called for 27 November 2020, we inform that the following documents are available at the Company's head office, on Banca Sistema's website www.bancasistema.it (Section Investors/ Governance/ Shareholders' Meeting/ 2020/ 27 November 2020) and on the website of the authorized storage mechanism :

• Board of directors' explanatory report on item 1 of the agenda (Ordinary Meeting Payment of the dividend from the 2019 profit. Relating and resulting resolutions);
• Board of directors' explanatory report on items 2, 3 and 4 of the agenda (Extraordinary Meeting: item 2 - Amendment to art. 10.2 of the articles of association, to introduce the possibility of electing two directors instead of one from the minority list. Relating and resulting resolutions; item 3 - Amendments to articles 5.7 and 10.3; introduction of new art. 12.3 and consequent new numbering of current articles 12.3 and 12.4 as 12.4 and 12.5 of the articles of association.
