BANCA POPOLARE DI SONDRIO E NEXI SOTTOSCRIVONO UN ACCORDO RIGUARDANTE LE ATTIVITÀ DI MERCHANT ACQUIRING

Sondrio, 24 dicembre 2025 - Banca Popolare di Sondrio S.p.A. ("BPSO") comunica di aver sottoscritto, in data odierna, un accordo con Nexi S.p.A. ("Nexi") per la cessione del ramo d'azienda relativo alle attività di merchant acquiring (l'"Operazione").

Unitamente all'Operazione è stata altresì definita la cessione a Nexi della partecipazione di minoranza attualmente detenuta da BPSO in Nexi Payments S.p.A. ("Nexi Payments").

L'Operazione, unitamente alla cessione della partecipazione in Nexi Payments, rappresenta il perfezionamento di un percorso già avviato da BPSO ai termini e condizioni comunicati al mercato lo scorso marzo in occasione della presentazione del Piano Industriale 2025–2027.

Il closing è atteso per i primi mesi del 2026 ed è subordinato all'ottenimento delle necessarie autorizzazioni da parte delle Autorità competenti.

BANCA POPOLARE DI SONDRIO AND NEXI SIGN AN AGREEMENT CONCERNING MERCHANT ACQUIRING ACTIVITIES

Sondrio, 24 December 2025 - Banca Popolare di Sondrio S.p.A. ("BPSO") announces that today it has signed an agreement with Nexi S.p.A. ("Nexi") for the sale of the business unit relating to merchant acquiring activities (the "Transaction").

Along with the Transaction, the sale to Nexi of the minority stake currently held by BPSO in Nexi Payments S.p.A. ("Nexi Payments") was also agreed.

The Transaction, together with the sale of the stake in Nexi Payments, represents the completion of a process already initiated by BPSO under the terms and conditions communicated to the market last March during the presentation of the 2025–2027 Business Plan.

The closing is expected in early 2026 and is subject to obtaining the necessary authorisations from the competent authorities.
