The Boards of Directors of Banca Mediolanum and Mediolanum Vita resolve to vote in favour of Mediobanca's Public Exchange Offer for Banca Generali at the Mediobanca Shareholders' Meeting
The Boards of Directors of Banca Mediolanum S.p.A. and Mediolanum Vita S.p.A. – both parties to the Shareholders' Consultation Agreement of Mediobanca S.p.A. stipulated pursuant to Article 122 of the Consolidated Law on Finance (TUF) - met today to resolve on the vote to be cast at the Ordinary Shareholders' Meeting of Mediobanca - Banca di Credito Finanziario S.p.A., convened for June 16, 2025 pursuant to Article 104, paragraph 1, of the Consolidated Law on Finance, to approve Mediobanca's voluntary Public Exchange Offer for all ordinary shares of Banca Generali S.p.A. The Board of Directors of Banca Mediolanum and the Board of Directors of Mediolanum Vita resolved to vote in favour of Mediobanca's Public Exchange Offer for Banca Generali at the Mediobanca Shareholders' Meeting, having assessed as positive the business development prospects and financial projections related to the transaction.
