Item 2.02 Results of Operations and Financial Condition.

On January 4, 2016, Banc of California, Inc. (the “Company”) issued a press release announcing growth in deposits within the Company’s Private Banking division. The press release also includes information regarding the Company’s total assets, deposits and loans as of the end of 2015. A copy of the press release is attached to this report as Exhibit 99.1 and incorporated by reference herein.
