Item 8.01 Other Events.

On February 16, 2016, Banc of California, Inc. announced that its Board of Directors has declared a quarterly dividend payment on its Series C and Series D Preferred Stock representing an annualized yield of 8.00% and 7.375%, respectively, on the liquidation preference amount for outstanding shares. The dividend will be payable on March 15, 2016 to record holders as of March 1, 2016 of depositary shares relating to the underlying Series C and Series D Preferred Stock.
