Item 8.01 Other Events.

On December 3, 2014, Banc of California, Inc. announced that its Board of Directors has declared a quarterly cash dividend of $0.12 per share on its outstanding common stock. The dividend will be payable on January 2, 2015 to stockholders of record as of December 15, 2014. Based on the trading price of $10.91 as of close of market on December 2, 2014, the cash dividend results in an annualized dividend yield of 4.40%.
