Hoover Revocable Trust dated 1-30-97 as amended and restated 7-11-03 (the Trust) entered into a prepaid variable forward contract (Contract) with a broker/dealer (Buyer) for disposition of up to 80,000 shares of Ball Corporation Common Stock (Ball Shares). On 9-18-09, the Settlement Date, the Contract obligated the Trust to deliver to Buyer a number of Ball Shares equal to $3,297,216. This transaction was disclosed on a Form 4 filing with the SEC on 9-18-06 and was settled in accordance with the Contract's terms through delivery by the Trust of 64,736 Ball Shares to the Buyer.
