(b) Departure of Officer.

On November 5, 2012, the Company announced that Raymond J. Seabrook, plans to step down as Chief Operating Officer, global packaging operations, at the end of 2012.

The Company’s press release announcing Mr. Seabrook’s retirement is included with this Form 8-K as Exhibit 99.1.
