Notification of Transactions of Persons Discharging Managerial Responsibilities or Connected Persons

Balfour Beatty plc (the "Company") was informed on 31 March 2016 by the Trustee of the Balfour Beatty Employee Share Ownership Trust (the "Trust") that, on 31 March 2016, each of the following Persons Discharging Managerial Responsibilities was the subject of an award of Ordinary Shares of 50p each ("Ordinary Shares") in the Company by the Trust, pursuant to the rules of the Company's Deferred Bonus Plan.  The Ordinary Shares were awarded at a price of 252.5p each and will vest after three years in accordance with the rules of the Deferred Bonus Plan.
