Balfour Beatty plc (the "Company") was informed on 14 May 2014 by the Trustee of the Balfour Beatty Share Incentive Plan 2011 (the "SIP") that on 13 May 2014 each of the following Persons Discharging Managerial Responsibilities ("PDMRs") acquired the number of Ordinary Shares of 50p each ("Ordinary Shares") in the Company shown against his name at 228.06p per Ordinary Share through participation in the SIP:

As a consequence, the total number of Ordinary Shares held by Mr Pollard and any persons connected with him within the meaning of Section 252 of the Companies Act 2006 is 1,451, comprising 0.0002% of the Company's issued Ordinary Share capital.

Each of these transactions took place in London.
