Notification of Transactions of Persons Discharging Managerial Responsibilities or Connected Persons

On 6 January 2014, Balfour Beatty plc ("the Company") was informed of the following transfer of Ordinary Shares of 50p each in the Company ("Ordinary Shares"):

Mr C D Vaughan: 36,000 Ordinary Shares to his spouse, Mrs S Vaughan.

This transaction took place in London.

As a consequence of this transfer, the total number of Ordinary Shares held by Mr Vaughan and any persons connected with him within the meaning of Section 252 of the Companies Act 2006 remains at 38,938 (0.006% of the Company's issued Ordinary Share capital).
