Sub.: Disclosure under Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosures Requirements) Regulations, 2015, as amended (“SEBI Listing Regulations”) at Bajaj Electricals Limited (“Company”)

Pursuant to the provisions of Regulation 30 (read with sub-para 8 of Para B and/or sub-para 20 of Para A, Part A of Schedule III) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (“SEBI Listing Regulations”), and in line with the Company’s Policy on the Determination of Materiality for Disclosure of Events or Information, we hereby inform you that the Company is in receipt of an Order-in-Original dated June 4, 2025 (“Order”), ( received by the Company on June 5, 2025, at 17:26 hours ) as passed by the Principal Commissioner of Customs, JNCH, Mumbai (“Customs Authority”), pertaining to the applicability of Anti-Dumping Duty (ADD), amounting to Rs. 0.44 crore, imposed on Nirlep Appliances Private Limited (“Nirlep”), a former wholly owned subsidiary of the Company, which was later merged into the Company pursuant to a Scheme of Merger by Absorption, in respect of goods imported by Nirlep during FY 2017–18 to FY 2021–22, and has levied a penalty of Rs. 1.32 crore.

The management of the Company is currently evaluating legal options, which inter alia include filing an appeal against the said Order.

Please note that there is no impact on financial operations or any other activities of the Company on account of this matter.
