Pursuant to the provisions of Section 91 of the Act read with rules made thereunder and Regulation 42 of the SEBI Listing Regulations, as amended, the Register of Members and Share Transfer books of the Company will remain closed from Thursday, August 22, 2024 to Wednesday, August 28, 2024 (both days inclusive) for the purpose of AGM. Pursuant to Regulation 44 of the SEBI Listing Regulations, Section 108 of the Act read with Rule 20 of the Companies (Management and Administration) Rules, 2014 and the Secretarial Standard on General Meetings issued by Institute of Company Secretaries of their votes on all resolutions as set forth in the Notice of 31India, as amended from time to time, the Members are provided with the facility to cast st AGM using electronic voting system (e-voting) provided by NSDL. The AGM is convened in compliance with the applicable provisions of the Companies Act, 2013 and the rules made thereunder (‘Act’); provisions of the Securities and Exchange Board of India (“SEBI”) (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’) and the provisions of General Circular No. 09/2023 dated 25[th] September, 2023, other circulars issued by Ministry of Corporate Affairs from time to time and Circular No. SEBI/ HO/CFD/CFD-PoD-2/P/CIR/2023/167 dated 7[th] October, 2023 issued by SEBI, without the physical presence of the Members at a common venue.

In compliance with the above mentioned provisions, the Notice of the 29[th] AGM and the Annual Report have been e-mailed only to those members whose e-mail ids are registered with the Company/ Registrar and Transfer Agent i.e. Bigshare Services Pvt. Ltd. / Depository Participant(s). The electronic dispatch of Annual Report to members has been completed on Monday, 5[th] August, 2024. The physical copies of the Notice of AGM and Annual Report for the Financial Year 2023-24 will be dispatched to those Members who request for the same.

The Notice of the 29[th] AGM and the Annual Report for the Financial Year 2023-24 will also be made available on the website of the Company at www.myvi.in , website of the Stock Exchanges i.e. BSE Limited and National Stock Exchange of India Limited at www.bseindia.com and www.nseindia.com respectively, and the AGM Notice is also available on the NSDL website i.e. www.evoting.nsdl.com .

REMOTE E-VOTING INFORMATION

In compliance with Section 108 of the Companies Act, 2013 (‘the Act’) read with Rule 20 of the Companies (Management and Administration) Rules, 2014, Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company is pleased to provide its Members facility of remote e-voting and e-voting at the AGM through electronic voting services provided by National Securities Depository Limited (‘NSDL’). Members attending AGM through VC/OAVM and have not cast their vote on the resolutions forming part of the Notice through remote e-voting and are otherwise not barred from doing so, shall be eligible to vote through e-voting facility provided during the AGM. Members who have cast their vote through remote e-voting prior to the AGM can attend the AGM but shall not be entitled to cast their vote again. The process for remote e-voting and e-voting at the AGM is provided in the Notice of 29th AGM.

The cut-off date for determining the eligibility of Members for voting through remote e-voting and voting at the AGM is Wednesday, 21[st] August 2024.

The remote e-voting period will start on Saturday, 24[th] August, 2024 at 09:00 a.m. and ends on Tuesday, 27[th] August 2024 at 05:00 p.m. The remote e-voting will be disabled by NSDL thereafter. Once the vote is cast by the Member he/she shall not be allowed to change it subsequently. BOOK CLOSURE

Notice is hereby given pursuant to Section 91 of the Act, read with Rule 10 of the Companies (Management and Administration) Rules, 2014 and Regulation 42 of the Listing Regulations that the Register of Members and Share Transfer Books of the Company will remain closed from Wednesday, 21[st] August, 2024 to Wednesday, 28[th] August, 2024 (both days inclusive) for the purpose of AGM.

Members are requested to go through the notes set out in the AGM Notice and in particular, instructions for joining the AGM, manner of casting vote through remote e-voting and e-voting during the AGM and attending the AGM through VC/OAVM.
