NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notification made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules.

BAE Systems plc announces that Peter Lynas, Group Finance Director and a Person Discharging Managerial Responsibilities (PDMR), has today sold 182,288 BAE Systems ordinary shares of 2.5 pence each at a price of 483.25 pence per share.  In addition, he has today exercised an option over 11,691 BAE Systems ordinary shares of 2.5 pence each under the Performance Share Plan at nil consideration and subsequently disposed of all these shares at a price of 484.32 pence per share.

Mr Lynas was required to undertake these transactions pursuant to a divorce settlement.

Following the above transactions Mr Lynas' holding in BAE Systems shares stands at 206,237 shares.  As this is now below his Minimum Shareholding Requirement (MSR) of 200% of base salary, he will be required to retain shares on future share incentive plan exercises as may be necessary to attain his MSR.

These transactions took place on the London Stock Exchange and the Company was notified of them today.
